1. Introduction

Novilay ("we", "our", or "us") is a service operated by Cristhian Almora. Novilay stands for Network for Ownership Verification, Identity, Licensing & Asset Yield—reflecting our mission to help website owners verify and manage image rights.

These Terms and Conditions ("Terms") govern your access to and use of novilay.com and all related services, features, and tools (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Services Description

Novilay provides automated image rights verification and copyright compliance tools for websites. Our Service includes:

2.1 Free Scanning (No Account Required)

  • Single URL/website scanning
  • Risk analysis (Verified, Incomplete, Unverifiable)
  • EXIF and metadata viewing
  • Reports limited to 20 images per scan

2.2 Dashboard Access (Registered Users)

  • Project management for monitored websites
  • Extended scanning capabilities
  • Metadata editing and correction
  • Image download with corrected metadata
  • Automated monitoring (depending on plan)

2.3 What We Scan

When you submit a URL for scanning, Novilay:

  • Crawls publicly accessible pages on the specified domain
  • Downloads images to analyze their metadata (EXIF, IPTC, XMP)
  • Checks for creator information, copyright notices, and license references
  • Generates a verification status for each image

Scanned data is stored temporarily to provide the Service and generate reports.

3. User Accounts & Plans

3.1 Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

3.2 Plan Tiers

Novilay offers the following plans:

  • Free: Single URL scanning, 20-image limit per report, no dashboard access, no automated monitoring
  • Pro: Up to 3 projects, weekly automated scans, full dashboard access, EXIF editing, bulk operations, email notifications, priority support
  • Max: Unlimited projects, daily automated scans, advanced analytics, dedicated support
  • Enterprise: Custom pricing with API access, webhooks, CMS integrations, realtime monitoring, white-label options, and dedicated success manager

3.3 Account Limits

Each plan has specific limits on projects, scan frequency, and features. If you exceed your plan limits, you may need to upgrade or remove existing projects to continue using certain features.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may NOT:

  • Use automated scripts, bots, or scrapers to access the Service (except through our official API for Enterprise customers)
  • Attempt to circumvent scan limits or abuse the free scanning feature
  • Scan websites you do not own or have authorization to scan
  • Use the Service to infringe on the rights of others
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Resell, sublicense, or commercially exploit the Service without written permission
  • Use the Service to collect personal data from scanned websites for purposes other than copyright verification

5. Intellectual Property

5.1 Novilay's Intellectual Property

The Service, including its design, features, functionality, code, documentation, trademarks, and the Novilay name and logo, is owned by Novilay and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written consent.

5.2 Your Content

You retain all rights to your own content, including websites you own and images you upload. By using the Service, you grant Novilay a limited license to access, process, and display your content solely for the purpose of providing the Service.

5.3 Third-Party Content

When you scan a website, you may be analyzing images and content owned by third parties. You are responsible for ensuring you have the right to scan such content. Novilay does not claim ownership of any third-party content accessed through the Service.

6. Data & Privacy

6.1 Data Collection

When you use the Service, we collect:

  • URLs you submit for scanning
  • Image URLs and metadata from scanned pages
  • Account information (email, name) for registered users
  • Usage data and analytics

6.2 Data Retention

  • Free scans: Report data is retained for 7 days
  • Pro/Max plans: Extended retention as long as your subscription is active
  • Enterprise: Custom retention policies available

7. Disclaimers & Limitations of Liability

Important: Novilay provides copyright compliance tools and information—we do NOT provide legal advice. Our Service helps you identify potential issues, but it is not a substitute for professional legal counsel.

7.1 No Legal Advice

Novilay is a technology platform, not a law firm. The verification statuses, risk assessments, and recommendations provided by the Service are informational only and should not be construed as legal advice. For legal questions about copyright, licensing, or intellectual property, consult a qualified attorney.

7.2 No Guarantee Against Claims

Using Novilay does NOT guarantee that you will avoid copyright claims or legal action. While our Service helps identify images that may lack proper documentation, we cannot guarantee the accuracy of metadata, the validity of licenses, or the completeness of our scans.

7.3 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVILAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid to Novilay in the twelve (12) months preceding the claim, or €100 for free users, whichever is greater.

8. Third-Party Content & Links

8.1 Scanned Websites

Websites you scan through Novilay are owned and operated by third parties. We are not responsible for the content, accuracy, legality, or availability of any third-party websites or images.

8.2 External Links

Our Service and blog may contain links to external websites or resources. We do not endorse and are not responsible for the content, products, or services available through these links.

8.3 Payment Processing

Payments are processed by Lemon Squeezy, our Merchant of Record. They handle all payment processing, VAT/tax compliance, and billing. Their terms of service apply to all payment transactions.

9. Modifications to the Service

Novilay reserves the right to:

  • Modify, suspend, or discontinue any part of the Service at any time
  • Update features, functionality, or pricing
  • Change these Terms with reasonable notice

We will notify registered users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.

10. Subscription & Payment Terms

10.1 Billing

  • Monthly plans: Billed at the beginning of each billing cycle
  • Lifetime plans: One-time payment for permanent access to the specified plan tier

10.2 Prices

Current prices are displayed on our Pricing page. Prices are in USD and may be subject to applicable taxes (handled by Lemon Squeezy).

10.3 Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated charges. Downgrades take effect at the next billing cycle.

10.4 Cancellation

You may cancel your subscription at any time from your dashboard settings. Upon cancellation, you retain access until the end of your current billing period. Lifetime plans cannot be cancelled but do not renew.

10.5 Refunds

We offer a 14-day money-back guarantee on all paid plans. To request a refund, contact us at hello@novilay.com within 14 days of your purchase. Refunds are processed through Lemon Squeezy.

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us or through your account settings. Upon termination, your access to the Service will end, and we may delete your data in accordance with our data retention policies.

11.2 Termination by Novilay

We may suspend or terminate your account if you:

  • Violate these Terms or our Acceptable Use Policy
  • Engage in fraudulent or illegal activity
  • Fail to pay applicable fees
  • Abuse the Service or other users

We will provide notice when reasonably possible, except in cases of severe violations.

11.3 Effect of Termination

Upon termination:

  • Your right to use the Service ends immediately
  • We may delete your account data after a reasonable retention period
  • Provisions that by their nature should survive (such as intellectual property rights, disclaimers, and limitations of liability) will remain in effect

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the courts of the Netherlands. You consent to the personal jurisdiction of such courts.

For EU consumers: Nothing in these Terms affects your statutory consumer protection rights under applicable EU law.
